This regulation, in force since January 2023, establishes for the first time a specific legal framework for technology-based emerging companies, recognising their strategic role in the digital and economic transformation of the country. ✍️ What is considered a startup under the law? An emerging company must meet certain requirements: be less than five years old (seven in strategic sectors), distribute no dividends, maintain its tax domicile in Spain, and demonstrate innovative character. In addition, it must have a turnover below 10 million euros and must not have arisen from a merger or split of large corporations. Agile procedures: administrative and tax simplification One of the pillars of the law is the reduction of bureaucracy. Startups can be incorporated electronically in less than 10 days, without the need for a public deed in certain cases. Barriers such as the requirement for a NIE for foreign investors are also removed, facilitating the entry of international capital. On the tax side, key incentives are introduced: • Reduced Corporate Tax rate (15%) during the first four years. • Increase of the deduction for investment in startups to 50%, with a limit of 100,000 euros. • Improvement of the treatment of stock options, which can now benefit from broader tax exemptions. Micro-contests: open innovation and public procurement Micro-contests are a complementary tool allowing public administrations to launch technological challenges to startups and innovative SMEs. These are simplified procurement procedures, with short deadlines and adjusted requirements, seeking disruptive solutions to specific problems. This model encourages open innovation, allowing emerging companies to access public contracts without competing against large corporations. It also promotes collaboration between the public and private sectors in areas such as digitalisation, sustainability, health, or education. Challenges and perspectives Although the Startup Law has been well received, it still faces challenges. Funding remains a bottleneck for many companies, especially in early stages. A possible revision of the law is also being evaluated to adapt it to new European strategies and expand its scope to larger companies. On the other hand, the rise of technologies such as artificial intelligence and automation is redefining the profile of startups. In Spain, more than 70% of new emerging companies focus on these areas, requiring constant updates of the legal framework and support instruments. Conclusion The Startup Law and micro-contests are laying the foundation for a more dynamic, inclusive, and competitive ecosystem. By reducing obstacles, offering incentives, and opening new avenues of collaboration, Spain positions itself as a European benchmark in innovative entrepreneurship. For entrepreneurs, understanding and taking advantage of these tools is key to transforming ideas into sustainable and scalable projects. ✨ ⚖️ Welcome to the Online Civil Process offered by MCHM Lawyers.
