It is not only a legal tool for business restructuring, but also an essential mechanism to preserve employment and guarantee the continuity of productive activity. ✍️ What is business succession in bankruptcy? Business succession, regulated in article 44 of the Workers´ Statute (ET), involves the transfer of an economic entity that maintains its identity, understood as a set of organized means aimed at carrying out an economic activity, essential or accessory. In the Bankruptcy Law context, this figure becomes especially important when the sale of an autonomous productive unit of the bankrupt company occurs. Spanish bankruptcy legislation, especially after the reform introduced by Law 16/2022, of September 5, has reinforced the role of the bankruptcy judge as the competent authority to determine whether business succession exists and, if applicable, to modulate the labor effects of such succession. Maintaining employment: a legal and social priority One of the fundamental objectives of the business succession regime in bankruptcy is to preserve jobs. The transfer of the productive unit should not, by itself, result in the termination of employment contracts. In fact, article 44 ET establishes that the transferee (the acquiring company) subrogates the labor and Social Security rights and obligations of the transferor (the bankrupt company). However, in the bankruptcy context, this subrogation can be limited or modulated by the bankruptcy judge, especially when required by the viability of the operation or the protection of the bankruptcy estate´s interest. This possibility has been subject to doctrinal and jurisprudential debate, as it conflicts with the principle of employment stability. Recent jurisprudence: balance between viability and labor rights The Supreme Court and the Court of Justice of the European Union have repeatedly addressed this issue. In particular, it has been recognized that, even within a Bankruptcy Law procedure, the protection of workers must be a priority, unless there are compelling reasons that justify otherwise. For example, it has been considered that the acquisition of a productive unit in bankruptcy does not automatically exempt the acquirer from labor obligations, even if the adjudication order indicates otherwise. The key lies in determining whether there is true continuity of economic activity and whether essential elements such as workforce, material means, or clientele have been maintained. The role of the bankruptcy judge The bankruptcy reform has strengthened the role of the bankruptcy judge, who may declare the existence or non-existence of business succession and modulate the labor effects of the transfer. This power is framed within the principle of “vis attractiva” of the bankruptcy procedure, which concentrates competence in the commercial judge to resolve all issues related to the active and passive estate of the bankruptcy, including labor matters. However, this power is not absolute. The judge must act respecting constitutional and community principles, especially regarding the protection of workers’ rights. Jurisprudence has emphasized that any limitation of subrogation must be duly motivated and justified in terms of general interest and business viability. Conclusion: a tool for responsible continuity Business succession in bankruptcy is not only a legal figure but a strategic tool for responsible business continuity. It allows saving viable productive units, preserving jobs, and minimizing the social impact of insolvency. But for it to effectively fulfill its function, a balance between the interests of the bankruptcy estate, workers’ rights, and legal certainty for acquirers is essential. In this regard, maintaining employment should not be seen as an obstacle, but as an essential asset that adds value to the transfer operation. Experience shows that companies that retain their human capital have greater chances of success in their new stage. ✨ ⚖️ Welcome to the Civil Online process offered by MCHM Lawyers.
